1. Acceptance of Terms

By accessing or using PRE PUBLIC's platform and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and PRE PUBLIC.

2. Services Description

PRE PUBLIC provides:

  • A platform for buying and selling unlisted shares of Indian companies
  • Information and research on unlisted companies
  • Facilitation of share transfers through RTAs
  • Secure escrow services for transactions
  • Educational content about unlisted market investing

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Be a resident of India or an NRI with a valid demat account
  • Have a valid PAN card and complete KYC verification
  • Have a functional demat account with a SEBI-registered depository participant
  • Not be prohibited from investing in securities under applicable laws

4. KYC and Verification

You agree to provide accurate, current, and complete information during registration and KYC verification. You must promptly update your information if it changes. We reserve the right to suspend or terminate accounts with inaccurate or fraudulent information.

5. Transaction Process

When you place an order:

  • Prices shown are indicative and subject to final confirmation
  • Orders are subject to share availability
  • Payment must be made to our designated escrow account
  • Share transfer typically takes 3-7 working days
  • We reserve the right to cancel orders that cannot be fulfilled

6. Payment Terms

All payments must be made through approved channels (NEFT/RTGS/IMPS/UPI) to our escrow account. Payments from third-party accounts are not accepted. Refunds for cancelled orders will be processed within 7-10 working days to the original payment source.

7. Fees and Charges

Our commission is included in the displayed price. There are no hidden charges. Any applicable taxes, stamp duty, or regulatory charges will be clearly disclosed before transaction confirmation.

8. Risk Acknowledgment

You acknowledge that investing in unlisted shares involves substantial risk. You have read and understood our Risk Disclosure Statement. You are investing with money you can afford to lose. PRE PUBLIC does not provide investment advice or recommendations.

9. No Investment Advice

PRE PUBLIC is not a SEBI-registered investment advisor. Information on our platform is for educational purposes only and should not be construed as investment advice. You should consult a qualified financial advisor before making investment decisions.

10. Intellectual Property

All content on our platform, including text, graphics, logos, and software, is owned by PRE PUBLIC or its licensors. You may not reproduce, distribute, or create derivative works without our written consent.

11. User Conduct

You agree not to:

  • Provide false or misleading information
  • Engage in fraudulent transactions
  • Use the platform for money laundering or illegal activities
  • Attempt to manipulate prices or spread misinformation
  • Interfere with the platform's security or functionality

12. Limitation of Liability

PRE PUBLIC shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the preceding 12 months. We are not responsible for losses resulting from market conditions, company performance, or third-party actions.

13. Indemnification

You agree to indemnify and hold PRE PUBLIC harmless from any claims, losses, or damages arising from your breach of these Terms, violation of any law, or infringement of third-party rights.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may close your account by contacting us. Termination does not affect completed transactions or outstanding obligations.

15. Dispute Resolution

Any disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Chennai, India, in English. The decision of the arbitrator shall be final and binding.

16. Governing Law

These Terms are governed by the laws of India. The courts of Chennai shall have exclusive jurisdiction over any disputes.

17. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use of our services after changes constitutes acceptance of the modified Terms.
